Welcome to Worth Agents (“Worth Agents,” “we,” “our,” or “us”). By accessing or using our website, worthagents.ca (the “Platform”), you (“User,” “Buyer,” “Seller,” or “Agent”) explicitly agree to these legally binding Terms & Conditions (“Agreement”). You must carefully review all sections and conditions herein. If you disagree with any part of this Agreement, you must discontinue using the Platform immediately.

1. General Terms

1.1 Acceptance

By registering, browsing, or using our Platform, you acknowledge having read, understood, and agreed to abide by this Agreement, our Privacy Policy, and any additional guidelines or notices we publish.

1.2 Modifications

Worth Agents reserves the right to modify or revise these Terms at any time, effective immediately upon publishing such modifications on our Platform. Continued use after modifications implies your acceptance of the revised terms.

1.3 Eligibility

You represent and warrant that you are at least 18 years old, legally capable of entering binding contracts, and fully authorized to engage in property transactions under applicable laws.

2. Nature of Worth Agents Platform

2.1 Role of Worth Agents

Worth Agents operates as an intermediary online marketplace. Our Platform provides a marketplace where Buyers and Sellers (“Leads”) can browse, view, and voluntarily connect with licensed real estate Agents offering flexible commission rates or cashback structures.
Worth Agents does not function as a real estate brokerage, representative, legal or financial advisor, nor does it directly participate in any real estate transaction.

2.2 Relationship Disclaimer

Worth Agents is NOT responsible or liable for the acts, omissions, promises, negotiations, or financial arrangements of Agents or Leads.
Worth Agents merely facilitates the initial connection between Leads and Agents. We do NOT guarantee, endorse, or assume liability for any Agent’s statements, cashback promises, flexible commission arrangements, professional conduct, qualifications, license status, or completion of transactions.

3. Responsibility & Liability Limitations

3.1 Leads (Buyers & Sellers) Responsibilities

You agree to independently verify each Agent’s license, background, commission rates, cashback offers, and professional credentials before entering agreements or transactions.
Worth Agents bears no liability if an Agent fails to fulfill promised cashback, commission discounts, or any related promises.
You agree that Worth Agents will not participate in disputes between you and an Agent.

3.2 Agents Responsibilities

You are solely responsible for all information, rates, cashback promises, commission offers, and other representations you make through our Platform.
You must comply with all applicable federal, provincial, local laws and professional real estate regulations, including ethical guidelines and fiduciary responsibilities.

3.3 Limitations of Liability

Worth Agents expressly disclaims any liability for direct, indirect, incidental, consequential, special, or punitive damages, financial or otherwise, arising from your use of the Platform or your interactions with other Users or Agents.
Worth Agents’ total liability shall never exceed the actual amount collected by Worth Agents from the specific transaction giving rise to the claim (limited strictly to referral fees of $750 paid by Agents).

4. Referral Fees (Applicable to Agents only)

Agents agree to pay Worth Agents a flat referral fee of $750 CAD plus applicable taxes immediately after the successful completion (closing) of a real estate transaction with a Lead obtained via the Platform. The referral fee amount is subject to change at Worth Agents’ sole discretion.
This updated lead fee applies only to new leads accepted starting April 16, 2025. Any leads accepted before this date will continue under the previously agreed fee structure.
Non-payment or delayed payments may result in suspension or permanent removal of your profile and possible legal action.

5. $450 Reward Incentive (Applicable to Leads – Buyers & Sellers)

5.1 Reward Details

Worth Agents may provide a reward incentive of $450 CAD (“Reward”) to Leads who successfully complete a real estate transaction using an Agent found through the Platform.
The Reward amount is subject to change or removal at Worth Agents’ sole discretion, without prior notice.
This updated reward amount applies only to new buyers/sellers who register on our platform starting April 16, 2025. Any buyers/sellers who registered before this date will continue under the previously agreed reward structure.
The Reward is solely at our discretion; it is a bonus incentive, NOT a legally enforceable right or entitlement.

5.2 Conditions to Qualify for the Reward

To potentially qualify for the Reward, you must:
- Have initially connected with your Agent exclusively via our Platform.
- Successfully complete and close the real estate transaction with this matched Agent.
- Submit verifiable proof of a successfully closed transaction (e.g., Agreement of Purchase and Sale, Closing Documents).
- Agree to provide your valid Social Insurance Number (SIN) and consent to ID verification for tax compliance and regulatory purposes.
- Provide accurate and current banking or payment details for electronic transfer.

5.3 Processing Time and Conditions

Payment of the Reward (if approved) may take up to twenty (20) business days to process after receiving all necessary verification documents.
Worth Agents has sole authority in determining qualification and approval for the Reward.
Worth Agents reserves the absolute right to deny any Reward request at our discretion without explanation.

5.4 Legal Disclaimer

Leads explicitly acknowledge the Reward as a discretionary incentive. Under no circumstances shall you initiate or pursue legal action against Worth Agents due to non-payment, delayed payment, or refusal of the Reward.

6. Prohibited Activities (All Users)

You explicitly agree to NOT:

Use the Platform for illegal, unethical, or unauthorized purposes.
Circumvent our referral mechanism.
Post inaccurate, misleading, fraudulent, defamatory, or discriminatory content.
Violate or attempt to violate Platform security measures.
Harass, threaten, or interfere with other Users.

7. Indemnification

You agree to indemnify and hold harmless Worth Agents, its owners, affiliates, directors, employees, and representatives from any claims, liabilities, damages, legal fees, and expenses arising from your violation of these Terms, breach of any law, dispute with other Users or third-party transactions.

8. Dispute Resolution

Any disputes involving professional misconduct by Agents must be escalated to the appropriate provincial regulatory body.
Any direct disputes regarding contracts, cashback promises, or commission structures must be settled exclusively between involved parties. Worth Agents will not intervene.

9. Termination

Worth Agents reserves the right to suspend, terminate, or restrict your account at our sole discretion at any time, without prior notice or explanation.
Termination does not exempt you from fulfilling obligations arising before termination (e.g., outstanding referral fees).

10. Governing Law

This Agreement is governed exclusively by the laws of the Province of Ontario and applicable Canadian federal laws.
All disputes arising from this Agreement or use of our Platform shall be resolved exclusively within the jurisdiction of Ontario courts.

11. Miscellaneous

No Warranties: Our Platform is provided “as-is” and without warranties of any kind. Worth Agents disclaims any implied warranties of fitness, accuracy, reliability, and non-infringement.
Severability: If a clause herein is deemed unenforceable, the remaining terms shall remain valid.
Entire Agreement: These Terms constitute the complete and final agreement between you and Worth Agents regarding Platform usage, superseding all prior agreements or understandings.
Assignment: Worth Agents reserves the right to freely assign or transfer this Agreement without consent.
